Governance for institutionalindependence and permanence.

ADIIF's governance separates fiduciary oversight, continental strategic stewardship and executive implementation while protecting the institution's independence and long-term integrity.

01Institutional Model

One institution. Three execution platforms.

ADIIF is a permanent institutional platform connecting intelligence, infrastructure, investment and leadership. Its convenings and future intelligence capabilities are programmes of the institution — not the institution itself.

ADIIF Forum, ADIIF Venture — the Strategic Programmes, Partnerships & Venture Development Platform — and ADIIF R&D operate as three complementary execution platforms within one institution and under one governance architecture. They are not separate institutions or independent governance authorities.

02Governance Architecture

Distinct roles. Clear authority.

ADIIF's governance architecture distinguishes between the Board, the ADIIF Founding Council and Executive Leadership & Secretariat.

    Board

    Fiduciary & Legal Oversight

    The Board is ADIIF's statutory governing body. It exercises fiduciary and legal oversight of the institution in accordance with the Memorandum of Incorporation and applicable law.

    ADIIF Founding Council

    Continental Strategic Stewardship

    The ADIIF Founding Council is being established as a distinct continental strategic stewardship body providing intellectual leadership and long-term institutional guidance. Membership of the Founding Council does not automatically constitute statutory directorship or operational authority.

    Executive Leadership & Secretariat

    Implementation Within Delegated Authority

    Executive Leadership & Secretariat is responsible for implementing approved strategy and operating the institution within delegated authority.

Governance Committees

As institutional scale and requirements develop, appropriate Board and institutional committees may be constituted progressively. Committee structures are subordinate to the relevant governance authority and do not constitute a separate institutional centre of authority.

03Institutional Independence

Partnership without institutional capture.

Commercial partners and global institutions may support and collaborate with ADIIF. They do not purchase control over its governance or its intelligence conclusions. Independence of judgement is fundamental to the institution's credibility.

  • African Leadership

    Governance is structured to preserve meaningful African leadership over the institution's priorities, intelligence and continental agenda.

  • Integrity of Intelligence

    Frameworks are being developed to safeguard the objectivity of ADIIF's data, indices, country assessments and published conclusions, insulating them from undue influence.

  • Funding & Partnership Independence

    No financial contribution shall purchase control of ADIIF. Funding or partnership does not confer automatic control over ADIIF governance, research methodology, intelligence conclusions, country assessments or institutional policy positions.

04Founding Governance

Built progressively. Disclosed responsibly.

ADIIF is in a founding and institution-building stage. Its statutory corporate governance is constituted under its registered legal framework, while the ADIIF Founding Council and additional governance structures are being developed progressively.

The Founding Council is in formation. Governance committees will be constituted progressively as institutional scale, risk and programme requirements develop.

Names of directors, Council members, committee members and executive office-holders are published on ADIIF's website only after formal appointment and approval for public disclosure.
